Scott is a founding partner of Elkins Kalt, providing top-tier legal services to all of the relevant players in today’s sophisticated real estate environment. His clients range from entrepreneurs and high-net-worth individuals to all types of real estate companies, including publicly traded REITs, mid-sized partnerships and institutional groups. His work includes the negotiation of  retail, industrial, and commercial leases, all aspects of financing transactions, acquisition and disposition matters of all property types (ranging from high-end residential properties to commercial properties to TV/movie studios to mobile home parks), as well as joint venture negotiations and all relevant agreements in hospitality-related transactions. He also represents a large investment fund in facilitating land banking transactions with merchant homebuilders throughout the country.

Career Highlights

Represented sponsor in negotiation of numerous preferred equity investments with opportunity funds on hotel developments throughout United States.

On behalf of a hotel owner, negotiated and documented the re-financing and re-capitalization of two hotel properties, involving a new joint venture agreement between the sponsor and a REIT.

Represented REIT in acquisition of numerous TV studios in Hollywood, CA and negotiations of 100,000 square feet and 300,000 square foot leases with media tenants.

Represented trustee in Chapter 11 bankruptcy case involving complex ownership structure with respect to over 100 properties.

Legal counsel on behalf of tenants and landlords in numerous leases of office space in excess of 50,000 rentable square feet throughout California.

Represented numerous lenders in originating over commercial real estate secured loans throughout Western United States.

Lead counsel for institutional owner in acquisition and disposition of over $10 billion of commercial properties throughout California and the western United States.

Represented landlord in the leasing/licensing of telecommunication facilities in downtown Los Angeles.

Represented land banker in the negotiation of over $1 billion of land banking transactions with publicly-traded homebuilders throughout the United States.

Represented developer in joint venture and land assemblage/land use issues for development of mixed-use projects in downtown Long Beach.

Represented investors in formation of investment funds to acquire a variety of distressed real estate assets.

Represented major landlords of commercial space in over 5,000 office lease transactions (valued at approximately $25 billion).

Handled acquisition of promissory notes on discounted basis and subsequent foreclosures on behalf of numerous investors.

Represented developer in development of medical office buildings on ground leasehold interests adjacent to hospitals throughout western United States.

Represented developer in acquisition, financing and development of mixed-use projects in Denver, Colorado, including structuring joint venture arrangement with institutional equity partner.
